Terms of Service

1. Acceptance of Terms

By accessing or using Share.cy (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Share.cy Ltd, a company registered in Cyprus.

By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Account Terms

• You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this requirement.
• You must provide accurate, complete, and current information during registration and keep your account information up to date.
• Each account is for use by a single person or legal entity. Sharing login credentials is not permitted. Team plans are available for organisations requiring multiple users.
• You are responsible for maintaining the security and confidentiality of your password. Share.cy will not be liable for any loss or damage resulting from your failure to comply with this obligation.
• You are responsible for all content posted and all activity that occurs under your account.

3. Free Trial

Share.cy offers a 7-day free trial that includes access to all Pro plan features. No credit card is required to start your trial. At the end of the trial period, your account will either convert to a paid subscription if you add payment details, or revert to limited free access. Trial features and limitations may vary. Share.cy reserves the right to modify or discontinue the trial offer at any time.

4. Payment Terms

• The Service is offered through subscription plans with different feature sets and usage limits. Pricing is displayed in EUR (Euro).
• Subscriptions are billed in advance on a monthly or annual billing cycle, depending on the plan you select.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• All payments are processed securely by Stripe. We do not store your payment card details.
• Prices are subject to change with at least 30 days' advance notice via email.

5. Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you will retain access until then.

• Annual plans are eligible for a full refund within 14 days of purchase or renewal. After 14 days, annual plans are non-refundable.
• Monthly plans are non-refundable. Partial-month refunds are not provided for mid-cycle cancellations.
• Refunds are returned to the original payment method and may take 5–10 business days to appear.

6. Acceptable Use

You agree not to use the Service to:

• Send spam or unsolicited bulk messages through connected social media accounts.
• Impersonate other individuals, brands, or organisations.
• Publish, distribute, or share illegal content, including content that infringes intellectual property rights, privacy rights, or applicable laws.
• Abuse the API by circumventing rate limits, accessing the service through automated means beyond what is expressly permitted, or reselling API access.
• Upload or distribute malware, viruses, or other harmful code.
• Attempt to gain unauthorised access to other users' accounts or the Service's infrastructure.

Violation of these terms may result in immediate suspension or termination of your account without refund.

7. Intellectual Property

• Your content: You retain all ownership rights to the content you create, upload, or publish through the Service. You grant Share.cy a limited, non-exclusive, royalty-free licence to display, store, and process your content solely for the purpose of providing the Service.
• Our platform: Share.cy and its original content, features, and functionality are owned by Share.cy Ltd and are protected by international copyright, trademark, and other intellectual property laws.
• The Share.cy name, logo, and all related names, logos, product and service names, and slogans are trademarks of Share.cy Ltd. You may not use them without our prior written permission.

8. AI-Generated Content

Share.cy provides AI-powered content suggestions as tools to assist your social media strategy.

• AI suggestions are starting points, not finished content. You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing.
• Share.cy makes no guarantee of accuracy, originality, or appropriateness of AI-generated suggestions. Content should be fact-checked and reviewed for brand voice before use.
• You remain fully responsible for any content published to social media platforms through the Service, including AI-assisted content.

9. API Usage

• Access to the Share.cy API is subject to rate limits that vary by subscription plan. Current limits are documented in the API reference.
• API keys are confidential. You are responsible for keeping your API keys secure and must not share them publicly or embed them in client-side code.
• You may not resell API access or use it to build a competing service without our prior written consent.
• Share.cy reserves the right to throttle or revoke API access for accounts that abuse the service or exceed fair-use limits.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account through account settings or by contacting support. Share.cy may suspend or terminate accounts that violate these Terms, with or without notice depending on the severity of the violation. Upon termination, your data will be retained for 30 days to allow export, then permanently deleted in accordance with our Privacy Policy, unless a longer retention period is required by law.

11. Limitation of Liability

• The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.
• Share.cy does not guarantee uninterrupted, secure, or error-free operation of the Service.
• In no event shall Share.cy's total liability exceed the amount paid by you in the 12 months preceding the claim.
• Share.cy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law provisions. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus. EU consumers may also use the European Commission's Online Dispute Resolution platform. Nothing in these Terms affects the statutory rights of consumers under applicable EU consumer protection legislation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice before material changes take effect, via email to the address associated with your account and/or a prominent notice within the Service. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
